Scope & Applicability
These Terms of Service (“Terms”) apply to all visitors and users of the Modular Solutions website and platform (collectively, the “Platform”), operated by Modular Insurance Solutions Inc. (“Modular,” “we,” “us,” or “our”).
By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, please discontinue use of the Platform immediately.
If you have a signed Master Services Agreement (MSA) or other written contract with Modular Solutions, the terms of that agreement govern your use of the platform and will prevail in the event of any conflict or inconsistency.
Service Description
Modular Solutions provides a cloud-based insurance policy administration system for insurance carriers, managing general agents (MGAs), brokers, and other industry participants.
The Platform is provided as a software-as-a-service (SaaS) offering. Features, functionality, and availability may change over time. Nothing in these Terms constitutes a commitment to any specific level of service, uptime, or feature set unless expressly defined in a separate written agreement.
Acceptable Use
You agree to use the Platform only for lawful purposes and in a manner consistent with these Terms. You must not:
- Use the Platform for any illegal, fraudulent, or unauthorized purpose
- Attempt to gain unauthorized access to any part of the Platform or its underlying infrastructure
- Interfere with, disrupt, or degrade the performance or availability of the Platform
- Transmit malware, viruses, or any other harmful or malicious code
- Scrape, harvest, or systematically extract data from the Platform without express written permission
- Use the Platform to violate any applicable law, regulation, or third-party right
Modular Solutions reserves the right to suspend or terminate access for any user or organization found to be in violation of these conditions.
Customer Responsibilities
Users of the Platform are responsible for:
- Ensuring the accuracy and integrity of data submitted to or processed through the Platform
- Managing user access credentials and maintaining the confidentiality of login information
- Ensuring their use of the Platform complies with all applicable laws and regulations, including those governing insurance, data protection, and privacy
- Promptly notifying Modular Solutions of any known or suspected unauthorized access to their account
Modular Solutions is not responsible for errors, losses, or compliance failures arising from inaccurate data, improper use, or failure to maintain appropriate access controls.
Privacy
Your privacy matters to us. The collection, use, and handling of personal information through the Platform is governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review it carefully to understand our practices.
Availability & Disclaimers
The Platform is provided “as is” and “as available” without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or uninterrupted availability.
Modular Solutions does not guarantee that the Platform will be error-free, continuously available, or free from security vulnerabilities. Scheduled or unscheduled maintenance, technical issues, or circumstances beyond our control may affect access to the Platform from time to time.
Any service level commitments, uptime guarantees, or support obligations are defined exclusively in separately executed customer agreements.
Limitation of Liability
To the maximum extent permitted by applicable law, Modular Insurance Solutions Inc., its affiliates, officers, employees, agents, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages including but not limited to loss of data, loss of revenue, loss of business opportunity, or business interruption, arising out of or related to your use of or inability to use the Platform, even if Modular Solutions has been advised of the possibility of such damages.
Nothing in these Terms limits liability that cannot be excluded or restricted under applicable law. Where a separate signed agreement exists, its liability provisions govern instead.
Governing Law & Jurisdiction
These Terms are governed by and construed in accordance with the laws of the Province of Alberta and the federal laws of Canada applicable therein, without regard to conflict of law principles.
Any disputes arising from or related to these Terms or your use of the Platform shall be subject to the exclusive jurisdiction of the courts located in Alberta, Canada.
Changes to These Terms
Modular Solutions may update these Terms from time to time to reflect changes in our services, legal requirements, or business practices. We will update the “Last Updated” date at the top of this page when changes are made. Continued use of the Platform following the posting of updated Terms constitutes your acceptance of those changes.
